Process of Private Limited Company Registration

Step 1: Consultation & Name Approval

Discuss your business objectives and apply for name reservation through RUN (Reserve Unique Name).

Step 2: Digital Signatures (DSC)

Obtain DSCs for all directors to sign incorporation documents digitally.

Step 3: Director Identification Number (DIN)

Apply for DIN for all proposed directors if they don’t already have one.

Step 4: Drafting Documents

Draft MOA (Memorandum of Association) and AOA (Articles of Association) along with affidavits and declarations.

Step 5: Filing SPICe+ Form

Submit SPICe+ Form (Part A & B) for incorporation with MCA along with all attachments.

Step 6: Company Incorporation Certificate

Receive the Incorporation Certificate with PAN, TAN, and CIN — your company is now legally registered!

List of Documents Required for Private Limited Company Registration

1. PAN Card

PAN of all directors and shareholders (mandatory).

2. Aadhaar Card

Identity and address proof for all directors and shareholders.

3. Passport-size Photographs

Recent photos of all proposed directors and shareholders.

4. Electricity Bill / Utility Bill

Proof of registered office address (not older than 2 months).

5. Rent Agreement / NOC

Required if the company office is in rented premises.

6. Business Details

Main business activities, proposed company name, and capital structure.

Important Note:
  • ✔ As per government norms, a Private Limited Company must have a minimum of 2 directors. Out of these, at least one director must be a resident Indian citizen. Maximum allowed directors are 15 without special resolution.
  • ✔ All documents must be self-attested before submission.
  • ✔ Ensure mobile number and email are active for OTP verification during DSC and MCA registration.
